Raymond M. Roberts is a senior associate and practices primarily in the areas of mergers and acquisitions, corporate finance, municipal law, contracts, and general corporate matters. In addition, Mr. Roberts practices in the areas of estate planning, estate administration and probate, real estate law and bankruptcy and creditors rights.

Mr. Roberts received his Juris Doctor degree from Duquesne University School of Law in 1993. He received his Bachelor of Arts degree in History from Duquesne University in 1986. Mr. Roberts served as a member of the adjunct faculty for the Duquesne University Paralegal Institute, where he taught Corporate Law and Introduction to Paralegalism.

Prior to joining the firm in March 2004, Mr. Roberts was a Senior Attorney with several prominent Pittsburgh firms. Mr. Roberts has represented buyers and sellers in asset purchase and stock purchase transactions, drafting of various financial and security agreements. His general corporate experience includes negotiation, analysis and drafting of commercial contracts; mergers and acquisitions negotiations; analysis of business issues relating to mergers and acquisition agreements and transactions; and advising clients with respect to corporate governance issues. Mr. Roberts has represented both borrowers and lenders in commercial finance transactions. He has represented a number of companies in the offer and sale of securities through private placements. Mr. Roberts has extensive experience in the area of taxable and tax-exempt municipal finance and has served as bond counsel, underwriter’s counsel, trustee’s counsel or borrower’s counsel in numerous tax-exempt and taxable municipal bond transactions for major industrial, educational, healthcare and governmental entities in transactions ranging from $700,000 to $465,000,000.

Mr. Roberts has advised municipal authorities with respect to organizational matters, and has prepared ground transportation regulations for and advised a county airport authority with respect to the enforcement of such regulations, prepared policy and procedure manuals for a municipal authority, together with bid specification forms, bonding requirement forms and ancillary documents for general procurement and contracting issues, prepared a policy manual for political activities of employees of a municipal authority under the Hatch Act and has advised a municipal authority with respect to real estate development and eminent domain issues.

Mr. Roberts is admitted to practice before the Supreme Court of Pennsylvania and the United States District Court for the Western District of Pennsylvania.
